1. Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the Zomfe platform, including our web applications, mobile applications, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
2. Description of Service
Zomfe is a software-as-a-service platform designed to help schools, transport operators, and fleet administrators manage school transport operations. Features may include live fleet tracking, route and stop management, student and family management, driver coordination, attendance logging, notifications, reporting, and administrative dashboards.
We may modify, suspend, or discontinue any part of the Service at any time. We will use reasonable efforts to notify customers of material changes that affect core functionality.
3. Accounts and Access
Access to the Service requires an account issued by Zomfe or by an authorized organization administrator. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You agree to provide accurate information, notify us promptly of unauthorized access, and use the Service only in compliance with applicable laws and organizational policies. We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.
4. Subscriptions and Billing
Paid plans are billed according to the pricing and billing cycle selected at purchase or as specified in your order form. Fees are non-refundable except where required by law or explicitly stated in writing.
Subscription fees may change upon renewal with reasonable notice. Failure to pay may result in suspension or termination of access. Trial periods, if offered, convert to paid subscriptions unless cancelled before the trial ends.
5. Acceptable Use
You may not misuse the Service. Prohibited activities include, without limitation:
• Attempting to gain unauthorized access to systems, accounts, or data • Interfering with or disrupting the Service or its infrastructure • Uploading malicious code or content that violates third-party rights • Using the Service for unlawful surveillance, harassment, or discrimination • Reverse engineering or copying the Service except as permitted by law • Reselling or sublicensing the Service without written authorization
You are responsible for ensuring that location data, student information, and notifications are used in compliance with applicable privacy and child protection laws.
6. Customer Data
"Customer Data" means data you or your users submit to the Service, including student records, route information, location data, and communications. You retain ownership of Customer Data.
You grant Zomfe a limited license to host, process, and display Customer Data solely to provide and improve the Service, comply with law, and prevent abuse. You represent that you have all necessary rights and consents to provide Customer Data to Zomfe.
7. Intellectual Property
Zomfe and its licensors own all rights, title, and interest in the Service, including software, designs, trademarks, and documentation. These Terms do not grant you any ownership rights in the Service.
Feedback you provide may be used by Zomfe without restriction or compensation. You may not remove proprietary notices or use Zomfe branding without prior written consent.
8. Third-Party Services
The Service may integrate with third-party services such as mapping providers, payment processors, or notification gateways. Your use of third-party services is subject to their terms and privacy policies. Zomfe is not responsible for third-party services outside our reasonable control.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOMFE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Location data, ETAs, and notifications are provided for operational assistance and do not guarantee arrival times or safety outcomes. You remain responsible for transport operations, supervision, and compliance with local regulations.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOMFE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ZOMFE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Zomfe, its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
12. Term and Termination
These Terms remain in effect while you use the Service. Either party may terminate a subscription according to the applicable agreement. We may suspend or terminate access immediately for material breach, non-payment, or legal requirement.
Upon termination, your right to access the Service ceases. We may retain Customer Data for a limited period as described in our Privacy Policy and will delete or return data upon request where commercially reasonable.
13. Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles. Courts located in Dehradun, Uttarakhand shall have exclusive jurisdiction over disputes arising from these Terms, unless otherwise required by mandatory local law.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use after the effective date constitutes acceptance of the updated Terms.
